End User License Agreement & Terms of Service

This End User License Agreement and Terms of Service ("Agreement") is a binding agreement between you and the organization you represent ("Customer", "you") and [Company Legal Name] ("Quzaic", "we", "us"), governing your access to and use of the Quzaic platform, websites, and related services (the "Service"). By creating an account, starting a trial, or using the Service, you agree to this Agreement. If you are entering into this Agreement on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

Quzaic is a feedback-to-build orchestration platform that helps you capture reviewer feedback on your web applications, turn it into structured, human-approved change requests, hand those changes to your own development tools (including AI build tools such as Lovable) under your control, and verify the results. Quzaic does not itself modify your applications; every change passes through gates that you control.

2. Accounts & eligibility

You must provide accurate account information and are responsible for all activity under your account and for keeping your credentials secure. You must be at least 18 years old and capable of forming a binding contract. You are responsible for your team members ("builder seats") and for the reviewers you invite.

3. Subscriptions, trials & billing

The Service is offered on tiered subscription plans (currently Starter, Builder, and Studio), billed monthly or annually through our payment processor, Stripe.

• Free trial. Paid plans may begin with a 14-day free trial. A valid payment method is required to start a trial. Unless you cancel before the trial ends, your subscription automatically converts to a paid subscription and your payment method is charged the then-current fee for your selected plan.
• Renewals. Subscriptions renew automatically for successive periods until cancelled. By subscribing you authorize recurring charges to your payment method.
• Plan limits. Each plan includes limits on concurrent active projects and builder seats; reviewers are unlimited. Exceeding a limit requires upgrading.
• Changes. Upgrades take effect immediately and are prorated; downgrades take effect at the end of the current billing period.
• Cancellation. You may cancel at any time; access continues until the end of the current paid period, after which the subscription does not renew.
• Refunds. Except where required by law, fees are non-refundable and there are no refunds or credits for partial periods, unused time, or downgrades.
• Taxes. Fees are exclusive of taxes; you are responsible for applicable taxes.
• Price changes. We may change fees on prospective renewals with reasonable prior notice.

4. License & acceptable use

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription. You agree not to: (a) resell or sublicense the Service; (b) reverse engineer or copy it except as permitted by law; (c) use it to build a competing product; (d) upload unlawful, infringing, or malicious content; (e) attempt to breach security or access data that is not yours; (f) exceed rate limits or interfere with the Service; or (g) use the Service to violate any law or third-party right.

5. Your content & data

You retain all rights to the data, feedback, and materials you and your reviewers submit ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. You are responsible for having the necessary rights and permissions for Customer Data and for complying with applicable laws. Our handling of personal data is described in our Privacy Policy.

6. Third-party services

The Service integrates with third-party tools you choose to connect (for example, Lovable and Stripe). Your use of those tools is governed by their own terms, and we are not responsible for third-party services. You are responsible for credentials and configurations you provide; Quzaic does not require, and you should not provide us, credentials for your build tools.

7. Intellectual property

The Service, including all software, design, and content we provide (excluding Customer Data), is owned by Quzaic and its licensors and is protected by intellectual-property laws. We reserve all rights not expressly granted. Feedback you give us about the Service may be used by us without restriction.

8. Confidentiality

Each party may access the other's confidential information and agrees to protect it and use it only as needed to perform under this Agreement.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-ASSISTED OUTPUTS WILL BE ACCURATE OR SUITABLE. YOU ARE RESPONSIBLE FOR REVIEWING AND APPROVING ALL CHANGES BEFORE THEY ARE APPLIED TO YOUR APPLICATIONS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You will defend and indemnify Quzaic against third-party claims arising from your Customer Data, your use of the Service in violation of this Agreement, or your violation of law or third-party rights.

12. Term & termination

This Agreement applies while you use the Service. We may suspend or terminate access for material breach (including non-payment) or to comply with law. On termination, your license ends. Following cancellation or termination, we retain your Customer Data for a limited grace period (currently 30 days), after which projects are archived and may be deleted in the ordinary course, unless a longer period is required by law.

13. Changes to this Agreement

We may update this Agreement from time to time. Material changes will be communicated by reasonable means; continued use after changes take effect constitutes acceptance.

14. Governing law & disputes

This Agreement is governed by the laws of [Governing-law State/Country], without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in [Venue], except that either party may seek injunctive relief to protect its intellectual property.
